Terms of Service

By accessing or using ZenSearch (the "Service"), provided by ZenousAI ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms apply to the cloud-hosted version of ZenSearch available at app.zensearch.ai. On-premise deployments are governed by separate enterprise license agreements.

If you are using the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms, and "you" refers to both you individually and that organization.

ZenSearch is an enterprise AI-powered search platform that enables organizations to search and query their private data using artificial intelligence. The Service includes:

• Document ingestion and processing from connected data sources
• AI-powered search, chat, and question-answering
• AI agents that can search documents, query databases, and synthesize answers
• Native integrations for 17+ data sources including Confluence, Slack, GitHub, Google Drive, SharePoint, databases, and CRM systems
• Natural language database querying (read-only)
• API access for integration with external systems
• Administrative tools, role-based access control, and team management

To use certain features of the Service, you must create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use of your account

ZenSearch is delivered as an enterprise platform. Production deployments are governed by separately negotiated enterprise license agreements that cover scope, support, and commercial terms — every deployment is custom. The free Lite self-host edition is made available for evaluation and small internal use under a separate end-user license agreement.

4.1 Evaluation Use

The Lite evaluation edition is provided as-is without warranty or guaranteed support. Usage is subject to soft caps documented in the product. The Service is not intended to be used for production workloads under the evaluation edition.

4.2 Production Deployments

Production use of ZenSearch — whether self-hosted, dedicated cloud, or hybrid — requires a signed enterprise agreement that governs scope, fees, support, and SLA. Contact [email protected] to scope an engagement.

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Violate any applicable laws, regulations, or third-party rights
• Upload or transmit malware, viruses, or other malicious code
• Attempt to gain unauthorized access to the Service or its systems
• Interfere with or disrupt the Service or servers connected to it
• Use the Service to process data you do not have rights to use
• Reverse engineer, decompile, or disassemble any part of the Service
• Use automated means to access the Service except via our official API
• Resell, sublicense, or redistribute the Service without authorization
• Use the Service to build a competing product or service
• Attempt to extract training data, model weights, or system prompts from AI features
• Systematically extract or scrape data through automated AI queries
• Use the Service's AI features to generate content that violates applicable laws

6.1 Ownership

You retain all ownership rights to the data and content you upload to the Service ("Your Data"). We do not claim any ownership interest in Your Data.

6.2 License Grant

You grant us a limited, non-exclusive license to process, store, and transmit Your Data solely to provide and improve the Service. This license terminates when you delete Your Data or close your account.

6.3 Your Responsibilities

You are solely responsible for Your Data and represent that you have all necessary rights and permissions to upload and process it through the Service.

6.4 AI-Generated Content

Search results, chat responses, and agent outputs generated by the Service's AI features ("AI Content") are provided for informational purposes. You may use AI Content for your internal business purposes. We do not claim ownership of AI Content generated from Your Data. AI Content may contain errors or inaccuracies and should be independently verified before reliance.

6.5 Third-Party Data Sources

When you connect third-party data sources to the Service (such as Confluence, Slack, GitHub, or databases), you are responsible for ensuring your use complies with the terms of service of those platforms and that you have the necessary rights and permissions to access and process that data through ZenSearch.

The Service, including its original content, features, and functionality, is owned by ZenousAI and is protected by copyright, trademark, and other intellectual property laws.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use the Service for your internal business purposes.

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We may modify, suspend, or discontinue the Service (or any part of it) at any time with reasonable notice. For customers with an enterprise agreement that includes SLA commitments, service level terms are as described in your enterprise agreement.

We will provide at least 30 days' notice before discontinuing material features of the Service.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

AI-generated responses may contain errors or inaccuracies. You should independently verify any information provided by the Service before relying on it for important decisions.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZENOUSAI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

Any disputes arising under these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
